Terms of Service

By creating an AgentDesk account, accessing our platform, or deploying any AI agent through our service, you agree to be bound by these Terms of Service ("Terms"). If you are using AgentDesk on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.

These Terms apply to all users of the AgentDesk platform. We may update them periodically. Continued use after updates constitutes acceptance of the revised Terms. Material changes will be communicated with at least 14 days' notice.

AgentDesk grants you a limited, non-exclusive, non-transferable license to access and use the platform for your business operations.

Permitted Use: You may deploy AgentDesk AI agents to automate business functions, manage workflows, and integrate with your business systems in compliance with applicable law and these Terms.

Prohibited Use: You may not use AgentDesk for illegal activities, spam, harassment, or any purpose that violates third-party rights. Unauthorized API access, credential sharing across organizations, or attempts to circumvent platform security controls are prohibited.

Account Responsibility: Your organization is responsible for all activity under your account. Notify us immediately at security@agentdesk.io if you detect unauthorized access or a suspected data breach.

AgentDesk provides specialized AI agents for business functions including sales, marketing, HR, customer support, and operations. By using these agents, you agree to the following:

Output Accuracy: AI agents produce outputs based on machine learning models and may occasionally produce errors. AgentDesk does not guarantee the accuracy or completeness of agent outputs. You are responsible for implementing appropriate review processes, especially for outputs that inform consequential business decisions.

Agent Instructions: You are responsible for the instructions, workflows, and automations you configure. Agents that interact with your customers or third-party systems act on your behalf. Their outputs reflect your instructions.

Data Inputs: Business data you provide to configure or operate agents should not include highly sensitive regulated data (e.g., payment card data in raw form, protected health information) unless you have an appropriate data processing agreement with AgentDesk.

Integration Actions: When agents take actions in your connected systems (sending emails, updating CRM records, etc.), those actions are authorized by you. Review your agent configurations regularly.

AgentDesk is offered on subscription plans billed monthly or annually.

Billing: Subscriptions renew automatically at the end of each billing period. You authorize us to charge your payment method on file. Applicable taxes are added based on your location.

Cancellation: Cancel at any time through your account settings. Cancellation takes effect at the end of your current billing period.

Refunds: New accounts are eligible for a refund within 14 days of initial subscription. After 14 days, all charges are final.

Enterprise Contracts: Enterprise customers operating under a separate order form or MSA are subject to the payment terms in those agreements, which supersede this section.

Price Changes: We provide 30 days' notice of price changes. Continued use after the effective date constitutes acceptance.

AgentDesk IP: The AgentDesk platform, including software, AI models, agent templates, integrations, interfaces, and branding, is the property of AgentDesk and its licensors, protected by intellectual property law.

Your Data: You retain ownership of business data, documents, and content you provide to the platform. You grant AgentDesk a limited license to process this data solely to deliver the service to you.

Agent Outputs: Outputs produced by your deployed agents are owned by you, subject to applicable law.

No Reverse Engineering: You may not attempt to reverse-engineer, decompile, or extract proprietary components of the AgentDesk platform.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AGENTDESK AND ITS OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, BUSINESS INTERRUPTION, OR REPUTATIONAL HARM.

Our aggregate liability for any claim arising under these Terms shall not exceed the greater of (a) the amount you paid to AgentDesk in the 12 months preceding the claim, or (b) $500 USD.

These limitations apply regardless of the legal theory and even if AgentDesk has been advised of the possibility of such damages. Some jurisdictions do not allow certain liability exclusions, so these limitations may not fully apply to you.

By You: Cancel your account at any time through account settings or by contacting support@agentdesk.io. Termination takes effect at the end of the current billing period.

By AgentDesk: We may suspend or terminate your account immediately for material violations of these Terms, non-payment, or fraudulent activity. For non-material violations, we will provide notice and an opportunity to cure.

Data Retention: We retain your data for 90 days after termination to allow for data export. After 90 days, data is permanently deleted. Contact privacy@agentdesk.io to request expedited deletion.

Sections covering IP, liability, and governing law survive termination.

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.

Disputes shall be resolved by binding arbitration under AAA Commercial Arbitration Rules, except that either party may seek injunctive relief in any court of competent jurisdiction for matters involving IP or unauthorized system access.

You waive the right to participate in class-action proceedings against AgentDesk.

EU customers retain rights under applicable EU consumer protection and data protection law that these Terms do not limit.
